Disclaimer – KILT Migration PortalLast Updated: June 18, 2025The KILT Token Migration Portal (the “Portal”), operated by Claymore Labs Ltd. (“Claymore”), a British Virgin Islands company, facilitates the migration of KILT tokens from the old Base contract to the new Base contract. By accessing or using the Portal at https://migrate.kilt.io/, you acknowledge and agree to the following:

• Non-Custodial Service:

The Portal is a decentralized, non-custodial software interface. Claymore does not hold, manage, or control your KILT tokens, wallets, private keys, or seed phrases. You are solely responsible for securing your wallet and ensuring accurate transaction details (e.g., wallet addresses, network selection).

• Irreversible Migration:

The migration process involves burning KILT tokens on the old Base contract for new KILT tokens on the new Base contract at a 1:1.75 ratio. Transactions are irreversible, and Claymore is not responsible for losses due to user errors (e.g., incorrect addresses, network selection) or failure to migrate before the migration window closes.

• Loss of Functionality:

Upon completion of the migration process, all KILT tokens will exist solely on the new Base contract. Unmigrated native KILT tokens, those on Ethereum and the old Base contract will no longer be recognized, functional, or supported within the KILT ecosystem. Claymore is not liable for any resulting losses.

• No Financial Advice or Guarantees:

The Portal does not provide financial or investment advice. KILT tokens are utility tokens for the KILT Protocol, not securities or investments. Claymore makes no guarantees about the value, exchangeability, or usability of KILT tokens, which are subject to high volatility and regulatory risks.

• Jurisdictional Restrictions:

The Portal is not available to residents or entities in prohibited jurisdictions, including the United States, North Korea, Iran, Syria, Russia, Belarus, or any country subject to comprehensive sanctions under U.S. OFAC, EU, or UK laws. You must not use VPNs or proxies to circumvent these restrictions. Violation may result in denial of access and referral to authorities.

• Blockchain Risks:

Blockchain transactions involve inherent risks, including software bugs, smart contract vulnerabilities, network failures, and cyberattacks. Claymore is not liable for losses due to these risks or third-party services (e.g., wallets, APIs) used to interact with the Portal.

• Regulatory Compliance:

Claymore may collect and share information (e.g., identity documents, wallet ownership proof) to comply with anti-money laundering (AML), counter-terrorism financing (CTF), or sanctions laws. Failure to provide requested information may result in denial of access.

• As-Is Service:

The Portal is provided “as is” without warranties of any kind, express or implied, including for functionality, accuracy, or availability. Claymore’s liability is limited to the fullest extent permitted by law.

• Amendments:

Claymore may modify this Disclaimer at its sole discretion at any time. The latest version will be posted on the Portal with an updated “Last Updated” date. For material changes, we may provide additional notice (e.g., via a banner on the Portal). Continued use of the Portal after changes constitutes acceptance of the revised Disclaimer. Amendments do not apply retroactively to migrations completed before the “Last Updated” date. You are responsible for reviewing updates and waive any right to specific notice, except as required by law.
